By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.
1.1 Eligibility
You must be:
- At least 18 years of age
- Legally capable of entering into binding contracts
- Authorized to bind your organization (if purchasing on behalf of a company)
1.2 Business Use
Our Services are intended for business and professional use only. By using our Services, you represent that you are acting in a professional or business capacity.
2. Account Registration and Security
2.1 Account Creation
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
2.2 Account Termination
We reserve the right to suspend or terminate your account if:
- You violate these Terms
- You provide false information
- Your account is used for illegal activities
- Your payment fails or is disputed

3.2 Service Modifications
We reserve the right to:
- Modify features and functionality
- Update content and materials
- Change pricing with 30 days' notice (existing customers grandfathered)
- Discontinue services with 90 days' notice
4. Payment Terms
4.1 Pricing and Fees
- All prices are in U.S. Dollars (USD)
- Prices are subject to change with notice
- You are responsible for all applicable taxes
- Payment is due immediately upon purchase
4.2 Payment Methods
We accept:
- Credit cards (Visa, Mastercard, American Express, Discover)
- Debit cards
- ACH transfers (for Enterprise customers)
- Wire transfers (for large purchases)
4.3 Subscription Billing
For Software Platform subscriptions:
- Billed monthly in advance
- Automatic renewal unless cancelled
- Payment failures may result in service suspension
- 30-day notice required for cancellation
- No refunds for partial months
4.4 Failed Payments
If payment fails:
- We will attempt to charge your card up to 3 times
- Your account may be suspended after 7 days
- Your account will be terminated after 30 days
- You remain liable for all unpaid fees
5. Refund Policy
5.1 Executive Whitepaper
- No refunds after digital delivery
- All sales final
5.2 Knowledge Base
- 30-day money-back guarantee
- Must request refund within 30 days of purchase
- Must provide reason for dissatisfaction
- Access will be revoked upon refund
5.3 Software Platform
- 14-day free trial - Cancel anytime during trial for no charge
- After trial: No refunds for current billing period
- Cancel anytime with 30 days' notice
- Service continues until end of paid period
5.4 Refund Process
To request a refund:

- Include reason for refund
- Refunds processed within 7-10 business days
6. Intellectual Property Rights
6.1 Our Ownership
We own all rights to:
- EquityGuard: Intersect™ trademark and branding
- Software code and algorithms
- Research methodologies and frameworks
- Website content, graphics, and design
- Documentation and training materials
6.2 Your License
We grant you a limited, non-exclusive, non-transferable license to:
- Access and use purchased materials
- Use our Software Platform during your subscription
- Download and use templates for your organization
You MAY NOT:
- Resell, redistribute, or sublicense our materials
- Reverse engineer our software
- Remove copyright or trademark notices
- Create derivative works without permission
- Share your account credentials
6.3 Your Data Ownership
You retain ownership of all HR data you upload. We claim no ownership rights to your data.
7. User Responsibilities and Prohibited Conduct
7.1 Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms.
7.2 Prohibited Activities
You must NOT:
- Violate any applicable laws or regulations
- Infringe intellectual property rights
- Transmit malicious code or viruses
- Attempt to gain unauthorized access
- Scrape or mine data from our Services
- Interfere with system functionality
- Impersonate others or provide false information
- Harass, abuse, or harm others
- Use our Services for illegal discrimination
8. Data Processing and Privacy
8.1 Privacy Policy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms.
8.2 Data Processing Agreement (Software Platform)
For Software Platform customers uploading HR data:
You are the Data Controller:
- You determine what data is processed and why
- You are responsible for legal compliance
- You must obtain necessary employee consents
- You must provide required notices
We are the Data Processor:
- We process data only on your instructions
- We implement appropriate security measures
- We assist with data subject rights requests
- We notify you of data breaches
- We delete data upon termination
8.3 Data Security
We implement industry-standard security measures, but we cannot guarantee absolute security. You acknowledge that you use our Services at your own risk.
9. Disclaimers and Warranties
9.1 Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted service. We are not liable for:
- Scheduled maintenance
- Force majeure events
- Third-party service failures
- Internet connectivity issues
9.2 "AS IS" Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or completeness of content
- Error-free or uninterrupted operation
9.3 Not Legal Advice
IMPORTANT: Our Services provide compliance monitoring tools and educational materials. They do NOT constitute legal advice. You should consult with qualified employment counsel for legal guidance specific to your situation.
9.4 Results Disclaimer
We do not guarantee that use of our Services will:
- Prevent lawsuits or EEOC complaints
- Ensure legal compliance
- Detect all bias or discrimination
- Achieve specific business outcomes
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
IN NO EVENT SHALL EHR MANAGEMENT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Cost of substitute goods or services
- Business interruption
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:
- $100, OR
- The amount you paid us in the 12 months preceding the claim
10.1 Exceptions
Some jurisdictions do not allow limitation of liability for personal injury or certain other damages. In such jurisdictions, our liability is limited to the extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless EHR Management and its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:
- Your use of our Services
- Your violation of these Terms
- Your violation of any law or regulation
- Your violation of third-party rights
- Your HR data or employment practices
12. Dispute Resolution
12.1 Informal Resolution
Before filing a claim, you agree to contact us at compliance@ehrmanagement.com to attempt informal resolution.
12.2 Binding Arbitration
If informal resolution fails, disputes will be resolved through binding arbitration:
- American Arbitration Association (AAA) rules apply
- One arbitrator will be appointed
- Arbitration conducted in English
- Location: [Your State/City]
- Each party pays own costs
- Arbitrator's decision is final and binding
12.3 Class Action Waiver
YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS-WIDE ARBITRATION.
12.4 Exceptions
Either party may seek injunctive relief in court for:
- Intellectual property infringement
- Breach of confidentiality
- Violation of acceptable use policies
13. Governing Law and Jurisdiction

14. Termination
14.1 Termination by You
You may terminate your account at any time by:

We may terminate or suspend your account immediately if:
- You breach these Terms
- Your payment fails
- We suspect fraudulent activity
- Required by law
14.3 Effect of Termination
Upon termination:
- Your access to Services is immediately revoked
- You remain liable for unpaid fees
- No refunds for remaining subscription period
- Your data will be deleted per our Privacy Policy
- Sections 6, 9, 10, 11, 12, and 13 survive termination
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and EHR Management.
15.2 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
15.3 Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right.
15.4 Assignment
You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
15.5 Force Majeure
We are not liable for delays or failures caused by circumstances beyond our reasonable control, including:
- Natural disasters
- War or terrorism
- Government actions
- Internet failures
- Pandemics
15.6 Amendments
We may modify these Terms at any time. Material changes will be communicated via:

- Prominent notice on our website
Continued use after changes constitutes acceptance.
